Terms of Service

Effective: March 10, 2026

Welcome to EchoEase. These Terms of Service ("Terms") govern your access to and use of the EchoEase platform, including our website, dashboard, APIs, and embeddable chat widget (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Definitions

  • "EchoEase", "we", "us", or "our" refers to EchoEase, the provider of the Service.
  • "Customer", "you", or "your" refers to any individual or entity that creates an account and uses the Service.
  • "End User" refers to any person who interacts with your AI assistant through the embeddable chat widget on your website.
  • "AI Assistant" refers to the AI-powered chatbot you configure through the EchoEase dashboard.
  • "Knowledge Base" refers to the collection of documents, URLs, manual text entries, and Q&A pairs you upload or configure to train your AI assistant.
  • "User Data" refers to all content you upload or generate through the Service, including knowledge base content, chat transcripts, configuration settings, and analytics data.

2. Account Registration & Eligibility

To use the Service, you must create an account. By registering, you represent and warrant that:

  • You are at least 18 years of age.
  • The information you provide during registration is accurate, current, and complete.
  • You will maintain the security of your account credentials and are responsible for all activity that occurs under your account.
  • You will not create multiple accounts for the same individual or entity.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent.

3. The Service

EchoEase provides an AI-powered customer support platform that enables you to:

  • Train an AI assistant on your business content (files, URLs, text, and Q&A pairs).
  • Embed a chat widget on your website so your visitors can interact with your AI assistant.
  • Access analytics, conversation history, and performance insights through a dashboard.
  • Configure your assistant's behavior, appearance, and responses.

AI Accuracy Disclaimer: Responses generated by your AI assistant are produced by artificial intelligence based on the content in your knowledge base. While we strive for accuracy, AI-generated responses may contain errors, inaccuracies, or outdated information. The Service does not provide professional, legal, medical, financial, or any other form of specialized advice. You are solely responsible for reviewing the accuracy of your AI assistant's responses and for any decisions made based on those responses.

4. Subscriptions & Billing

  • Plans: The Service is offered through subscription plans with varying features and usage allowances. Plan details and pricing are available on our website and dashboard.
  • Free Trial: New accounts receive a 14-day free trial. No credit card is required to start a trial.
  • Billing Cycles: Paid subscriptions are billed monthly in advance. Payments are processed through Stripe.
  • Usage Allowance: Each plan includes a monthly usage allowance. Usage beyond your allowance may result in service limitations until your next billing cycle or until you purchase additional balance.
  • Top-Up Balance: You may purchase additional usage balance at any time. Top-up balances do not expire for 12 months from the date of purchase.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access to paid features until the end of the billing period.
  • Refunds: Except as required by applicable law, all fees are non-refundable.
  • Price Changes: We may change our pricing with at least 30 days' notice. Price changes apply to the next billing cycle following the notice period.

5. Your Data & Content

  • Ownership: You retain all rights, title, and ownership of your User Data. EchoEase does not claim ownership of any content you upload, create, or generate through the Service.
  • License Grant: By uploading content to the Service, you grant EchoEase a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service to you.
  • Content Responsibility: You are solely responsible for ensuring that the content you upload to your knowledge base does not infringe on any third-party intellectual property rights and complies with all applicable laws.
  • No Cross-Tenant Use: Your data is never used to train AI models for other customers. Your knowledge base content is used exclusively to power your AI assistant.

6. Acceptable Use

You agree not to use the Service to:

  • Upload, distribute, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Harass, spam, or deceive end users or any other individuals.
  • Misrepresent your AI assistant as a human being without clear disclosure that the user is interacting with an AI.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service.
  • Scrape, crawl, or use automated means to access the Service outside of the provided APIs.
  • Build a competing product or service using the Service or any information obtained from it.
  • Circumvent usage limits, rate limits, or any other restrictions placed on your account.
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.

7. AI & Third-Party Services

The Service uses third-party AI providers to process your data and generate responses. These providers include, but are not limited to:

  • OpenAI, Anthropic, Mistral: For generating AI assistant responses.
  • Voyage AI: For creating text embeddings used in knowledge base search.
  • Firecrawl: For extracting content from URLs you add to your knowledge base.

Your data sent to these providers is processed in accordance with their respective privacy policies and terms of service. EchoEase is not responsible for changes to third-party provider terms, pricing, or availability. We may change providers at any time without notice to maintain or improve the Service.

8. Intellectual Property

All rights, title, and interest in and to the Service, including all software, algorithms, interfaces, documentation, branding, and content created by EchoEase, are and remain the exclusive property of EchoEase. You are granted a limited, non-exclusive, non-transferable right to access and use the Service during your subscription period in accordance with these Terms. No intellectual property rights are transferred to you under these Terms except as explicitly stated.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share your information. By using the Service, you consent to the practices described in our Privacy Policy.

10. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

11. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, EchoEase does not warrant that:

  • The Service will be uninterrupted, error-free, or available at all times.
  • AI-generated responses will be accurate, complete, current, or suitable for any particular purpose.
  • The Service will meet your specific requirements or expectations.
  • Any errors or defects in the Service will be corrected within a specific timeframe.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOEASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO ECHOEASE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Termination

  • By You: You may cancel your subscription and close your account at any time through the dashboard settings.
  • By EchoEase: We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms.
  • Effect of Termination: Upon termination, your right to access the Service ceases immediately. Your data will be retained for 14 days following account closure to allow for data export. After the 14-day retention period, your data will be permanently deleted.
  • Survival: Provisions relating to intellectual property, limitation of liability, confidentiality, and general terms shall survive termination.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or through a notice in the dashboard. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should discontinue use of the Service and close your account.

15. General

  • Governing Law: These Terms are governed by and construed in accordance with the laws of the jurisdiction in which EchoEase operates, without regard to its conflict of law provisions.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and EchoEase regarding the Service and supersede all prior agreements and understandings.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. EchoEase may assign its rights and obligations without restriction.
  • No Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
